These Terms & Conditions govern all interactions, agreements, purchases, consultations, and engagements with RedPXL, whether in person, via digital platforms, or by phone.
2. Services Overview
RedPxl offers professional consulting services, brand strategy, content marketing, paid media management, influencer collaborations, digital product creation (including templates, digital files, and software), and customized marketing campaigns, including work within regulated industries.
3. User Accounts & Registration
You may be required to create an account to access some services.
You agree to:
• Provide accurate and complete information.
• Keep your login credentials secure.
• Notify us immediately if you suspect unauthorised use.
We reserve the right to suspend accounts suspected of misuse, fraud, or violation of these terms.
4. Service Engagement & Scope
Before any engagement begins, a written agreement will define scope, deliverables, timelines, and payment. Any requests beyond the agreed scope will incur additional fees.
We reserve the right to decline services that conflict with our ethical standards or legal regulations.
5. Payments, Fees & Refunds
All payments are due in full as outlined in the agreement.
• Marketing & consulting services are non-refundable once work has commenced.
• Digital product sales are final; no refunds or exchanges.
• Late payments will incur interest charges of 5% per month.
Failure to pay may result in suspension of service and legal action.
6. Non-Consent Use Clause
All materials, data, and content delivered by RedPxl are for the Client’s business use only. Any unauthorized resale, redistribution, or reproduction — whether for personal gain or distribution to third parties — without prior written consent from RedPXL is strictly prohibited.
Violation will result in immediate termination of service, forfeiture of funds, and potential legal action.
7. Confidentiality
All information shared between the Client and RedPXL during engagement is considered confidential.
• We agree not to disclose client information to third parties without consent.
• The client agrees to keep proprietary information, processes, and documentation provided by RedPxl confidential.
Breach of confidentiality by either party will result in legal recourse.
8. Intellectual Property
All content, strategies, designs, documents, digital products, templates, copy, and creative assets produced by RedPXL remain the intellectual property of RedPxl unless otherwise agreed in writing.
• Clients receive a license to use deliverables for their business purposes.
• Clients may not resell, distribute, or claim ownership of RedPXL intellectual property.
9. Use of Client Branding & Testimonials
Unless the Client notifies us in writing, RedPxl reserves the right to showcase completed projects, case studies, and anonymous testimonials on its website and marketing materials.
• Clients may request removal of materials with reasonable notice.
10. Non-Disparagement
By engaging with RedPxl, the Client agrees not to publicly defame, disparage, or speak negatively about RedPxl, its team, or its services, either during the engagement or after termination.
11. Data Privacy & Security
RedPxl complies with GDPR, UK Data Protection Act, and other applicable privacy regulations.
• Data collected during engagement will be stored securely.
• We use industry-standard encryption and security protocols.
• Clients are responsible for maintaining security on their own platforms.
12. Client Responsibilities
The Client agrees to:
• Provide necessary materials, content, and approvals in a timely manner.
• Respond to communication promptly.
• Abide by content and platform guidelines when using digital products.
Failure to do so may result in delays or termination without refund.
13. Performance Disclaimer
We make no guarantees regarding specific outcomes. Success depends on numerous variables beyond our control, including market changes, industry regulations, consumer behavior, and platform policies.
14. Limitation of Liability
RedPxl, its affiliates, partners, and employees will not be liable for any damages, direct or indirect, arising from the use of our services, including but not limited to loss of revenue, reputation, or data.
15. Indemnity
You agree to indemnify and hold RedPxl harmless from any claims, damages, legal costs, or demands arising from your misuse of our services or violation of these Terms & Conditions.
16. Termination of Service
We reserve the right to suspend or terminate services with immediate effect if:
• The client breaches these Terms & Conditions.
• Payment is not received.
• The client engages in unethical or illegal activity.
All work completed up to termination remains the property of RedPxl, and outstanding invoices are immediately due.
17. Force Majeure
RedPxl is not responsible for service disruptions caused by events outside of our control, including but not limited to natural disasters, war, pandemics, strikes, or cyberattacks.
18. Amendments
We may update these Terms & Conditions at any time. The latest version will be posted on our website. Continued use of services after changes constitutes acceptance of the new terms.
19. Governing Law
These Terms & Conditions are governed by and construed under the laws of England and Wales. Disputes arising will be subject to the exclusive jurisdiction of the courts of London, UK.
